Tyco's Compensation and Human Resources Committee is appointed by the Board to:

• Review and approve compensation and benefits policies and objectives
• Determine whether the Company's officers, directors and employees are compensated in accordance with these policies and objectives
• Carry out the Board's responsibilities relating to compensation of the Company's executives.

In addition, the Compensation and Human Resources Committee produces an annual report on executive compensation for inclusion in the Company's proxy statement, in accordance with applicable rules and regulations.
